Rigless Contributor License Agreement 1.0

Anyone can open an issue. A merge request against the published interfaces needs this agreement, and you accept it by adding one line to your first merge request. Contributions to the Apache-2.0 repositories don't need it, since section 5 of that license already covers them.

RIGLESS CONTRIBUTOR LICENSE AGREEMENT

Version 1.0, 6 September 2026

Thank you for your interest in contributing to software published by Rigless
Labs under the Rigless License ("Published Source"). Because the Published
Source is not open source, Rigless Labs must hold sufficient rights in every
contribution to license it to others under the Rigless License and under any
other terms it chooses. This agreement gives Rigless Labs those rights while
you keep ownership of your work. It applies to every Contribution you make,
now or later, to any Published Source. You may withdraw it for future
Contributions by written notice; Contributions made before the notice remain
covered.

Sign by adding the line I have read and agree to the Rigless Contributor
License Agreement, version 1.0. to the description of your first merge
request, or by emailing that sentence with your full name to
wezley.sherman@riglesslabs.com. A merge request that contains that line is a
signature by the individual who opened it. If you contribute on behalf of an
employer or other entity, an authorized signatory of that entity must sign
the Entity Schedule below before the Contribution is accepted.

1. DEFINITIONS

"You" means the individual or entity making a Contribution, together with
any Affiliates that own or control the Contribution or any right in it.

"Contribution" means any original work of authorship, including code,
models, data, documentation, and modifications or additions to existing
work, that you intentionally submit to Rigless Labs for inclusion in the
Published Source, in any form, including through a merge request, an issue,
an email, or any other communication with Rigless Labs, unless conspicuously
marked "Not a Contribution."

"Affiliate" has the meaning given in the Rigless License.

2. COPYRIGHT LICENSE

You grant Rigless Labs and its successors a perpetual, worldwide,
non-exclusive, irrevocable, royalty-free, fully paid, transferable license,
with the right to sublicense through multiple tiers, to reproduce, prepare
derivative works of, publicly display, publicly perform, distribute, and
otherwise exploit your Contributions and derivative works of them, in any
form and under any license terms, including the Rigless License, proprietary
terms, and open-source licenses. To the extent moral rights or similar
rights cannot be licensed, you waive them and agree not to assert them
against Rigless Labs or its licensees.

3. PATENT LICENSE

You grant Rigless Labs and its successors, and to recipients of software
distributed by Rigless Labs, a perpetual, worldwide, non-exclusive,
irrevocable (except as stated below), royalty-free, fully paid, transferable
license, with the right to sublicense through multiple tiers, to make, have
made, use, offer to sell, sell, import, and otherwise transfer the
Contribution alone and in combination with the work to which it was
submitted, under any patent claims you own or control, now or later, that
are necessarily infringed by the Contribution alone or by that combination.
If you or your Affiliate institute patent litigation, including a
cross-claim or counterclaim, alleging that a Contribution or the work to
which it was submitted infringes a patent, every patent license granted to
you under this agreement and under the Rigless License for that work
terminates on the date the litigation is filed.

4. YOUR REPRESENTATIONS

You represent that: (a) you are legally entitled to grant the licenses above
and, if you are an individual, you are at least eighteen years old; (b) each
Contribution is your original creation, or you have identified in the
Contribution every part that is not, together with its author, license, and
any restriction; (c) no part of a Contribution is subject to a license,
agreement, or obligation, including one to an employer or client, that
conflicts with this agreement; (d) if your employer or any other party has
rights in intellectual property you create, that party has signed the Entity
Schedule or has waived those rights for your Contributions in writing; (e)
no Contribution contains material controlled under the International Traffic
in Arms Regulations or the Export Administration Regulations, material
confidential to any third party, material generated by copying any third
party's proprietary code, or material derived from any current or former
employer's proprietary information; and (f) you will notify Rigless Labs
promptly if you become aware of any fact that would make these
representations inaccurate.

5. NO OBLIGATION TO USE

Rigless Labs is not obliged to include any Contribution in the Published
Source, to credit you, or to keep any Contribution confidential.

6. OWNERSHIP AND DISCLAIMER

You retain ownership of your Contributions, subject to the licenses granted
here. Except for the representations in Section 4, Contributions are
provided "AS IS" without warranty of any kind, and you are not required to
provide support for them. To the extent permitted by law, Rigless Labs will
not hold you liable for damages arising from a Contribution beyond a breach
of Section 4.

7. GENERAL

This agreement is governed by the laws of the State of Alabama, United
States of America, excluding its conflict-of-law rules, and the state and
federal courts in Madison County, Alabama have exclusive jurisdiction over
any dispute arising from it. It is the entire agreement about Contributions
and supersedes any prior agreement about them. If any provision is
unenforceable, the remainder remains in effect. Rigless Labs may assign this
agreement to a successor; you may not assign it. This agreement is written
in English, and any translation is for convenience only.
