RIGLESS ORDER TERMS Version 1.1, 8 October 2026 These terms apply to every Order for the Team Plan, the Enterprise Plan, packs, services, or support under the Rigless License. Capitalized terms not defined here have the meaning given in the Rigless License. The Rigless License, these Order Terms, and the Order together form the agreement; where they conflict, the Order controls, then these Order Terms, then the Rigless License. 1. ORDERS 1.1 An Order is effective when both parties have accepted it in writing, including by email or by an online order flow that records acceptance. 1.2 An Order states, at minimum: the Plan; the number of Seats or the Sites; the packs and services included; the initial term; the fees; the billing contact; and whether it provides for source access. 1.3 Purchase orders are for the customer's convenience only. Terms printed on or referenced by a purchase order do not apply. 2. TERM AND RENEWAL 2.1 The initial term is twelve (12) months from the Order's effective date unless the Order states otherwise. 2.2 Subscriptions renew automatically for successive twelve (12) month terms unless either party gives written notice of non-renewal at least sixty (60) days before the end of the current term. 2.3 Rigless Labs may change fees for a renewal term on at least ninety (90) days' written notice before renewal. A fee increase for a renewal term will not exceed seven percent (7%) of the prior term's fees for the same scope. 2.4 Seats and Sites added mid-term are prorated to the end of the current term and renew with it. 3. FEES AND PAYMENT 3.1 Fees are stated in United States dollars, are due within thirty (30) days of invoice, and are non-cancelable and non-refundable except as the Rigless License or these Order Terms expressly provide. 3.2 Fees exclude taxes. The customer is responsible for all sales, use, value-added, withholding, and similar taxes other than taxes on Rigless Labs' net income, and will pay any withheld amount so that Rigless Labs receives the full invoiced amount. 3.3 Amounts unpaid thirty (30) days after the due date accrue interest at one percent (1%) per month or the maximum lawful rate, whichever is lower. Rigless Labs may suspend license keys for accounts more than forty-five (45) days overdue after ten (10) days' written notice, and the suspension does not extend the term. 3.4 Services are billed at the day rate or fixed price in the Order. Travel and expenses are billed at cost with prior approval. 4. DELIVERY AND LICENSE KEYS 4.1 The Software is delivered by download. Team Plan keys are issued per Seat; Enterprise Plan keys are issued as an offline bundle per Site, valid for the term plus a thirty (30) day grace period. 4.2 Rigless Labs will make updates and upgrades of the Software available to customers with an active Order at no additional charge. A version is supported for twelve (12) months after the release of its successor. 5. SUPPORT 5.1 Team Plan: email support during business hours, Monday to Friday, Central Time, excluding United States federal holidays, with an initial response within two (2) business days. 5.2 Enterprise Plan: email support with a named contact and the response targets below. Severity is assigned by the customer in good faith and confirmed by Rigless Labs. Severity 1 Definition: The Software is unusable at a Site and no workaround exists Initial response: 4 business hours Update cadence: Daily Severity 2 Definition: A major feature is unusable and no reasonable workaround exists Initial response: 1 business day Update cadence: Every 2 business days Severity 3 Definition: A feature is impaired; a workaround exists Initial response: 2 business days Update cadence: Weekly Severity 4 Definition: A question, a request, or a cosmetic problem Initial response: 5 business days Update cadence: On resolution 5.3 Support covers the current version and the immediately preceding version. Support does not cover Modifications, Your Materials, Third-Party Software, or the customer's own plant models except as a services engagement. 5.4 Response targets are not resolution guarantees. If Rigless Labs misses a Severity 1 or 2 response target three (3) times in a quarter, the customer may terminate the Order on written notice and receive a refund of prepaid fees for the remainder of the term; this is the customer's sole remedy for support failures. 6. SERVICES 6.1 Services, including board bring-up, plant coupling, CI integration, and retainers, are described in a statement of work attached to or referenced by the Order. 6.2 Deliverables that are specific to the customer, including the customer's packs, plant models, board files, and session files, are the customer's property on payment in full. Rigless Labs retains all rights in its pre-existing materials, tools, know-how, and generic improvements, and any device model, chip model, or tool that is not specific to the customer's confidential hardware is Rigless Labs' property and may be included in the Licensed Materials for all customers, with the customer's confidential information removed. Rigless Labs grants the customer a license to any Rigless Labs materials embedded in a deliverable to the extent needed to use the deliverable under the customer's Plan. 6.3 Rigless Labs warrants that services will be performed in a professional and workmanlike manner. The customer's sole remedy for breach of this warranty is re-performance of the deficient services, or, if Rigless Labs cannot re-perform them within thirty (30) days of written notice given within thirty (30) days of delivery, a refund of the fees paid for the deficient services. 6.4 Rigless Labs may use the customer's name and logo to identify it as a customer only with the customer's prior written consent, which may be withdrawn at any time. 7. CONFIDENTIALITY 7.1 Each party will protect the other's Confidential Information with at least reasonable care, use it only to perform under the agreement, and disclose it only to its personnel and advisers who need to know it and are bound to confidentiality. Confidential Information is information marked confidential or that a reasonable person would understand to be confidential, including the customer's firmware, plant models, traces, and program information, and Rigless Labs' pricing, roadmap, unpublished source, and source delivered under Section 9. 7.2 Confidential Information excludes information that is or becomes public without breach, was known to the recipient before disclosure, is independently developed without use of the discloser's information, or is rightfully received from a third party without restriction. A party may disclose Confidential Information when required by law, after giving prompt notice and cooperating in seeking protection where lawful. 7.3 These obligations last for five (5) years after the agreement ends, and indefinitely for trade secrets and for the customer's export-controlled technical data. 8. EXPORT-CONTROLLED PROGRAMS 8.1 The customer is responsible for identifying any Your Materials that are controlled under the International Traffic in Arms Regulations or the Export Administration Regulations. Such materials are never to be uploaded to Rigless Labs' infrastructure; the Software is designed so that they never leave the customer's systems. 8.2 Where services require Rigless Labs personnel to access controlled technical data, the parties will execute a technology control plan before access, and Rigless Labs will assign only United States persons to the work. 9. SOURCE ACCESS (ENTERPRISE) 9.1 Where the Order provides for source access, Rigless Labs will deliver to the customer the complete source code of the Software, its build instructions, and the pinned Third-Party Software versions, within thirty (30) days of the Order's effective date and within thirty (30) days of each major release, by the secure channel the Order names. 9.2 Rigless Labs delivers the source directly to the customer. No third party holds it, no fee beyond the Order's fees applies to it, and no release condition limits its delivery. 9.3 Delivered source is Rigless Labs' Confidential Information and may be used solely as Section 10.4 of the Rigless License states. 10. TERMINATION 10.1 Either party may terminate an Order on thirty (30) days' written notice if the other party materially breaches the agreement and fails to cure within that period, or immediately if the other party becomes insolvent or subject to a bankruptcy or insolvency proceeding not dismissed within sixty (60) days. 10.2 On termination for Rigless Labs' uncured breach, Rigless Labs will refund prepaid fees for the remainder of the term. On termination for the customer's breach, all unpaid fees for the term become due. 10.3 Sections 3, 6.2, 7, 8, 9.3, 10, and 11 survive termination. 11. GENERAL 11.1 The Rigless License's Sections 12 through 16 apply to these Order Terms and to every Order, including the governing law, venue, limitation of liability, and indemnification provisions. 11.2 Rigless Labs may update these Order Terms for future Orders by publishing a new version. An Order is governed by the version in effect on its effective date. 11.3 Notices under an Order go to the addresses in the Order and, for Rigless Labs, to wezley.sherman@riglesslabs.com. 11.4 Neither party will, during the term of an Order and for twelve (12) months after, solicit for employment any employee of the other party who was materially involved in performing the Order, except through general advertising not targeted at that employee.
